Terms of Service

By creating an account and using Pencil, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

These terms constitute a legally binding agreement between you and Vicerta Ltd ("Vicerta", "we", "us"). If you are using Pencil on behalf of a school or organisation, you represent that you have authority to bind that organisation to these terms.

You must be at least 18 years old to use Pencil. By creating an account, you confirm that you are 18 or over.

Pencil is designed for qualified educators, school administrators, and education professionals. By using the service, you confirm that you are using it in a professional educational capacity.

We reserve the right to terminate accounts where we have reason to believe a user does not meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate information when creating your account and keep it up to date.

You must not share your account with others or allow others to use your credentials.

You must notify us immediately at support@vicerta.com if you suspect unauthorised access to your account.

One person may not maintain more than one free account.

You may use Pencil to create educational content for professional teaching purposes.

You must not use Pencil to:

Generate content that is harmful, abusive, discriminatory, or illegal. Create content that violates any third-party intellectual property rights. Attempt to reverse-engineer, scrape, or extract data from the platform. Circumvent any usage limits or access controls. Generate content that sexualises, exploits, or endangers minors in any way. Impersonate any person or organisation. Use the service for any commercial purpose other than your own professional teaching practice without a commercial licence.

We use automated and manual review to detect misuse. Violations may result in immediate account termination.

You own the content you create using Pencil. The outputs generated — lesson plans, assessments, reports, and other materials — belong to you and you may use them freely in your professional practice.

By using Pencil, you grant Vicerta a limited licence to store and process your content solely to provide the service. We do not claim ownership of your outputs.

We do not use your content or outputs to train AI models. Your content is never shared with other users.

You are responsible for reviewing AI-generated content before use. AI outputs may contain errors and should not be used without professional review. Vicerta accepts no liability for the accuracy of AI-generated content.

Pencil is not designed to process student personal data. We strongly advise you not to enter personally identifiable information about students (names, dates of birth, addresses, special educational needs details linked to a named individual) into the platform.

If you choose to enter student information, you do so as data controller under your school's data protection obligations. Vicerta acts as data processor for any such data and will process it only to provide the service.

Schools requiring a Data Processing Agreement (DPA) should contact schools@vicerta.com.

Free plan: Available to all registered users at no cost with access to 7 tools. No credit card required.

Pro plan: A paid subscription providing access to all 35 tools. Billed monthly or annually as selected at purchase.

School plan: A per-seat subscription for schools and trusts. Contact schools@vicerta.com for pricing.

Payments are processed by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer partial refunds for unused time except where required by law.

14-day refund policy: If you are unsatisfied with your Pro subscription within 14 days of first payment, contact support@vicerta.com for a full refund.

Pencil uses large language models (Claude by Anthropic) and image generation models (DALL-E 3 by OpenAI) to generate content.

AI-generated content may contain factual errors, outdated information, biased outputs, or content that is inappropriate for your specific context. All AI-generated content must be reviewed by a qualified professional before use.

Vicerta makes no warranty that AI-generated content is accurate, complete, or suitable for any particular purpose. We are not liable for any harm arising from the use of AI-generated content in educational settings.

You are responsible for all content you use in your professional practice, regardless of whether it was generated with AI assistance.

The Pencil platform, including its design, code, branding, and non-user-generated content, is owned by Vicerta Ltd and protected by intellectual property law.

The Vicerta and Pencil names, logos, and marks are trademarks of Vicerta Ltd.

You may not copy, modify, distribute, or create derivative works of any part of the platform without our express written consent.

We aim to provide a reliable service but do not guarantee 100% uptime. The service may be unavailable due to maintenance, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the service (or any part of it) at any time with reasonable notice.

We will provide at least 30 days notice before discontinuing the service entirely.

To the maximum extent permitted by law, Vicerta shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

You may terminate your account at any time from the Settings page or by emailing support@vicerta.com. On termination, your data will be deleted within 30 days.

We may terminate or suspend your account immediately if you breach these terms, engage in fraudulent activity, or if we are required to do so by law.

On termination of a paid subscription, your access to Pro features will continue until the end of the paid period.

These terms are governed by the laws of England and Wales. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the EU, you may also benefit from mandatory protections of the law of the country where you live.

We may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the new terms.
